Please read these Terms and Conditions (“Terms”) carefully before using www.bookedmode.com (the “Website”) or engaging BookedMode (“BookedMode,” “we,” “us,” “our”) for services.
By accessing the Website or purchasing our services, you agree to these Terms. These Terms apply to all visitors, users, and clients.
1. Our Services
BookedMode provides done-for-you consulting and implementation services to improve lead intake and follow-up (the “System”), which may include call handling workflows, web lead capture, automation, messaging sequences (email/SMS), and related configuration across your tools (e.g., website, CRM, phone/SMS providers, scheduling, analytics/advertising tools). Specific scope, deliverables, timelines, and requirements will be confirmed in a separate written agreement (the “Service Agreement”).
2. Prohibited Uses
You agree not to misuse the Website or our services. You will not attempt to access systems without authorization, interfere with the Website’s operation, use our content for unlawful purposes, or violate any applicable laws or third-party terms.
3. Client Responsibilities
To deliver the service successfully, you agree to provide timely access, information, approvals, and assets reasonably required for implementation (for example: website/CRM access, phone/SMS configuration details, branding, and operational preferences). Delays in providing inputs may delay timelines.
4. Payments, Billing Platforms, and Refunds
Fees (including any one-time setup fee and any ongoing monthly operating cost/support fee) will be outlined in your Service Agreement. Payments are due as stated in that agreement.
Payments may be processed through third-party billing or payment platforms, including Upwork Direct Contracts, or alternatives such as Whop, Digistore24, or other processors, depending on what is mutually agreed. Your payments may be subject to the platform’s own terms, fees, and policies.
Because our work is customized and service-based, fees are generally non-refundable once work has started, unless your Service Agreement states otherwise in writing. Third-party fees (including software subscriptions, usage charges, phone/SMS charges, AI usage, or payment processor fees) are subject to the third party’s policies and are not refundable by BookedMode.
5. Third-Party Tools and Accounts
Your System may rely on third-party tools and services (for example: CRMs, website platforms, telephony providers, email/SMS platforms, scheduling tools, analytics, and advertising platforms). You are responsible for maintaining any required third-party accounts and paying applicable third-party fees. We are not responsible for outages, policy changes, deliverability changes, account restrictions, or service interruptions caused by third parties.
6. Consent for Communications (Email/SMS)
By submitting your information through our Website (including the assessment, scheduling, or contact forms), you consent to receive communications from us by email and SMS (if you provide a phone number) regarding your inquiry, application, scheduling, reminders, and service-related follow-ups. Where permitted by law, you may also receive marketing messages.
You can opt out of marketing emails using the unsubscribe link in the email, and opt out of marketing SMS by replying “STOP” (or equivalent). Even if you opt out of marketing, we may still send non-marketing messages related to scheduling or service updates.
7. Intellectual Property
BookedMode retains all rights to our underlying methodologies, templates, processes, and know-how.
Upon full payment, you receive a worldwide, royalty-free, perpetual, non-exclusive license to use the final deliverables created specifically for your business under the Service Agreement. You may use them internally for your business, but you may not resell, redistribute, or commercially share our System, templates, or methodology.
8. Disclaimer of Warranties / No Guarantees
Our services are provided “as is” and “as available.” We do not guarantee specific business results (including leads, bookings, revenue, or close rates). Our obligation is to deliver the System as described in the Service Agreement. Outcomes depend on factors outside our control (market conditions, pricing, team response time, seasonality, ad spend, and third-party platform performance).
9. Limitation of Liability
To the maximum extent permitted by law, BookedMode will not be liable for indirect, incidental, special, or consequential damages. Our total liability for any claim related to the services will not exceed the amount you paid to BookedMode for the services giving rise to the claim.
10. Termination
We may suspend or terminate access to services if you breach these Terms or the Service Agreement, fail to pay fees when due, or misuse our services. You may terminate as set out in the Service Agreement. Fees already paid and work already performed remain payable/non-refundable unless stated otherwise in writing.
11. Force Majeure
BookedMode will not be liable for any delay or failure to perform due to events beyond our reasonable control, including but not limited to: internet/service outages, third-party platform failures, changes to third-party policies, labor disputes, acts of government, natural disasters, war, or other force majeure events. In such cases, timelines may be reasonably extended.
12. Governing Law
These Terms are governed by the laws of the Republic of Tajikistan, without regard to conflict of law provisions.
13. Dispute Resolution / Venue
Any dispute arising out of or relating to these Terms or our services shall be resolved exclusively in the courts located in the Republic of Tajikistan, and you consent to the jurisdiction of those courts.
14. Changes to These Terms
We may update these Terms from time to time. The updated version will be posted on this page with a revised “Last Updated” date.
